COMPANY PROFILE / BIOSENSORS
MiniMed (Medtronic)
Medtronic's former diabetes business, listed in March 2026, which sells insulin pumps together with continuous glucose monitoring (CGM) and uses both its own sensors and sensors made by Abbott
MiniMed comes up in any discussion of biosensors because it sells automated insulin delivery systems that take a CGM sensor's readings as input and adjust insulin dosing automatically. It used to be the Diabetes business of Medtronic plc, but as MiniMed Group, Inc. it listed on Nasdaq on 9 March 2026 (ticker MMED). Medtronic holds about 90%, and on 14 September 2026 it launched an exchange offer that lets its own shareholders swap Medtronic shares for MiniMed shares. For the fiscal year ended 24 April 2026 (FY2026) MiniMed reported sales of US$3,102 million, R&D spending of US$448 million and about 8,000 employees. This profile sets out, from primary sources only, what the company makes, what it invests in, who it works with and what challenges it faces. It is not a recommendation to use any product.

1. MiniMed in 30 seconds, and where it stands in biosensors
IPO on 9 March 2026Medtronic plc (Irish company, NYSE: MDT) holds about 90%
Instinct (made by Abbott)The 10-K says it uses its own and Abbott-made sensors
MiniMed is best understood not as "a sensor company" but as "a company that sells automated insulin delivery systems in which the sensor is one component". About 82% of FY2026 sales came from recurring revenue such as CGM, consumables, software and services, according to the 10-K Sourced. Its sensors are both its own (Simplera Sync, Guardian 4) and Instinct, made by Abbott under a supply and integration agreement. Also, Medtronic still holds about 90% after the IPO, and what happens next depends on the outcome of the exchange offer, which is scheduled to expire on 9 October 2026. As of 4 October 2026 no result had been announced Not yet confirmed.
2. The logo and how the name is written

A note on names: the company that listed in March 2026 is MiniMed Group, Inc. Before the separation it was the Diabetes business of Medtronic plc, and the earlier product name was Medtronic MiniMed (the applicant name in FDA documents is still Medtronic MiniMed, Inc.). The title follows the series convention of naming the operating business with its well-known parent in parentheses, "MiniMed (Medtronic)". The folder name stays Medtronic. MiniMed 780G, MiniMed Flex, Simplera Sync, Guardian 4 and Instinct are product names, not companies. The logo was taken from the company's official website (minimed.com).

4. Scale
MiniMed is a diabetes-only company, so company-wide figures are the diabetes figures. Its parent Medtronic is large, so group-wide figures are kept brief. Each table comes from the company's own 10-K Sourced.
| MiniMed Group (US$ million) | FY2025 | FY2026 | Change |
|---|---|---|---|
| Sales | 2,715 | 3,102 | +14% (10-K) |
| Gross profit | 1,528 | 1,680 | +10% |
| R&D expense | 436 | 448 | +3% |
| Operating income (loss) | -146 | -190 | Loss widened |
| Net income (loss) | -198 | -317 | Loss widened |
| Purchases of property and equipment | 193 | 223 | FY2024: 148 |
| Medtronic plc (whole group) | FY2025 | FY2026 | Change |
|---|---|---|---|
| Group sales (US$ million) | 33,537 | 36,364 | +8% |
| Of which the Diabetes segment | 2,755 | 3,112 | +13% |
Medtronic's Diabetes segment is about 8.6% of group sales Our calculation (3,112 / 36,364). MiniMed's own 10-K sales (3,102) and Medtronic's segment sales (3,112) differ by US$10 million; the reason was not confirmed here. About 70% of MiniMed's sales are outside the U.S. (10-K, FY2026). For May to July 2026 (the first quarter of FY2027), sales were US$843 million (up 16.6% on the year), with US$240 million in the U.S. and US$603 million elsewhere. Operating income was US$5 million (against a US$13 million loss a year earlier) (10-Q and results release) Sourced.
The first quarter of FY2027 includes roughly one extra week of sales because of the 52/53-week fiscal calendar (the company says about 4 to 6 points of growth). Comparing it directly with the prior-year quarter makes growth look larger. MiniMed's financials also cover the period when it was a division of Medtronic (transfers with the parent are recorded), so cost structures before and after listing may differ and year-to-year comparisons need care Not yet confirmed.
5. Resources committed to biosensors
| Resource | What primary sources confirm | Status |
|---|---|---|
| People | About 8,000 employees (April 2026), over 2,800 of them commercial staff. Two manufacturing sites (California and Puerto Rico). More than 2,000 patents and patent applications as of May 2026 (10-K). Headcount for sensor R&D alone is not disclosed | Sourced / partly undisclosed |
| Money (R&D) | US$436 million in FY2025 and US$448 million in FY2026. For May to July 2026: US$115 million (US$125 million a year earlier). R&D for sensors alone is not disclosed | Sourced / partly undisclosed |
| Money (capital expenditure) | Purchases of property and equipment: US$148 million in FY2024, US$193 million in FY2025 and US$223 million in FY2026. The results release names Simplera (the company's own sensor) capacity expansion as a driver of growth outside the U.S.; the breakdown of the investment was not confirmed | Sourced / breakdown not confirmed |
| External funding and investment | (1) IPO: 28,000,000 shares sold at US$20.00 on 9 March 2026 (8-K); cash from the share issuance was US$538 million (10-K cash flow statement). (2) Blackstone: under co-development agreements signed by Medtronic, the company received funding for specified diabetes products (next-generation MiniMed Flex pump, MiniMed Fit patch pump and others) and owes royalties. On FDA clearance of MiniMed Flex it recorded a one-time charge of US$157 million in the fourth quarter of FY2026 for minimum royalty obligations; a termination payment can be up to US$216 million per agreement. These agreements were assigned to MiniMed in the separation | Sourced |
| Acquisitions and joint ventures | No acquisition or joint venture in sensors was found in the sources checked. There is, however, the supply and integration agreement with Abbott (below) | Not confirmed |
| Universities, research institutes, public funding | ClinicalTrials.gov lists 79 studies with "Medtronic MiniMed" as sponsor or collaborator (searched 4 October 2026). NIH or other public grant funding is not confirmed in the 10-K | Sourced / public funding not confirmed |

The sensors (Simplera, Guardian) are PMA approvals, while the pumps and the SmartGuard technology are 510(k) clearances, so the FDA categories differ. The company describes Abbott's Instinct as an iCGM made by Abbott, but its FDA category and number were not confirmed here Not yet confirmed. In Europe the company says the MiniMed 780G (with Instinct) received a CE mark in February 2026 and MiniMed Flex by September 2026. The status of approvals or certifications in Japan was not checked for this article.
According to FDA's recall record, the Guardian 4 sensor recall that started on 15 November 2023 was due to the possibility that the thickness of the glucose oxidase (GOX) layer was outside its specification (5.5 to 9.2; the record gives the unit as "m", probably micrometres but not confirmed). A layer that is too thin could affect sensor values or cause loss of sensor function, and the record says the manufacturing team found it with Filmetrics (thin-film thickness) measurement Sourced. The quantity field shows 114,758 units and the root-cause category is "process change control". The enzyme layer is where glucose is converted into current, so its thickness is a design value that governs sensitivity and life. The record shows that the enzyme-layer thickness is measured optically during manufacturing as a control Not yet confirmed.
6. What it has done so far

| 14 September 2026 | Medtronic launched the exchange offer, letting Medtronic shareholders swap Medtronic shares for the MiniMed shares it holds | See "What comes next" below |
7. What comes next
The terms of the exchange offer (Medtronic's announcement) are as follows Not yet confirmed.
- Medtronic offers up to 225,361,295 MiniMed shares in exchange for Medtronic shares. One condition for completion is that at least 112,680,647 MiniMed shares be exchanged. The aim is to split off at least 80.1% of MiniMed shares.
- The exchange is made at a 7% discount for Medtronic shareholders (up to 4.5939 MiniMed shares per Medtronic share; if the cap does not apply, about US$107.53 of MiniMed stock for every US$100 of Medtronic stock). Participation is voluntary.
- If the offer is undersubscribed, Medtronic says it intends to dispose of its remaining shares through a spin-off, split-off, debt-for-equity exchange or a combination.
- As of 4 October 2026, no result of the exchange offer appeared in the sources checked.
Product plans (results release of 1 September 2026; company outlook, not results): the next-generation extended-wear sensor has received a U.S. IDE (investigational device exemption) with the first pivotal-trial enrollment expected this fall. MiniMed Flex has received a CE mark with a European launch expected in November 2026.
The final result and exchange ratio of the exchange offer / sales, profit and R&D for sensors alone / production capacity and investment for sensors other than Simplera / FDA category and number for Instinct (made by Abbott) / costs under the transition services agreements with Medtronic / the status of approvals or certifications in Japan / public grant funding. None appears in the primary sources checked for this article.
8. What the company is aiming for in biosensors
This section separates what the company says it is aiming for from what this article reads into the record. An Inference is our interpretation of primary sources, not a statement by the company.
| What can be read | Supporting primary information | Category |
|---|---|---|
| Offering a choice of sensors to widen the pump's appeal | The 10-K says its systems work with three sensors: Simplera Sync, Instinct and Guardian. The first-quarter results release credits new sensor launches for growth in new U.S. pump sales | Sourced / Inference (the intent) |
| Locking in the relationship with Abbott over the long term | The June 2026 amendment sets an initial seven-year term and adds an exclusive integration of Abbott-made glucose-ketone dual sensors | Sourced |
| Investing in its own next-generation sensor (extended wear) | U.S. IDE approved; first pivotal-trial enrollment expected in fall 2026 (company plan) | Sourced (plan) / Inference (priority) |
| Raising the degree of automation of dosing | Enrollment complete in the pivotal trial of the Vivera (fully closed-loop) algorithm; U.S. launch expected in the second half of 2027 | Sourced (company plan) |
| Raising capital and making decisions as an independent business | The IPO, the start of the exchange offer, and Medtronic's statement about the "focus and flexibility" of an independent company | Sourced (company statement) |
The reading that the company is "offering a choice of sensors" rests on the fact that it has prepared regulatory documents so that its own and Abbott's sensors can be used with the same pump. The FDA summary for SmartGuard technology (K253585) records integration verification with a compatible iCGM, "Instinct, made by Abbott" Sourced. On the other hand, the May 2026 recall record describes a software anomaly that arises only with the Instinct pairing, which suggests that supporting several sensors also adds a burden of verifying each combination Not yet confirmed.
9. Map of partnerships in biosensors
The 10-K names Abbott (supply and integration), Blackstone (co-development funding) and Medtronic (parent and separation agreement). The 10-K also says the Abbott agreement includes a commitment by MiniMed not to purchase, market or distribute CGMs from certain of Abbott's CGM competitors. Among the conditions under which Abbott may terminate, the 10-K lists a failure by MiniMed to buy Abbott CGMs for a continuous period, and a failure to launch certain Abbott CGMs in certain markets within four years Sourced.
10. Technologies, products and services
MiniMed's products combine an insulin pump (or smart pen), a CGM sensor, an algorithm that adjusts dosing automatically (SmartGuard), a smartphone app and a clinician-facing cloud (CareLink) Sourced. Much of the performance language comes from the company itself ("superior clinical results"), so this article treats it as company statements and does not rank values across products.
| Product | What the official documents say | Note |
|---|---|---|
| MiniMed 780G system (AID) | 10-K: the SmartGuard algorithm adjusts pump dosing automatically every five minutes based on CGM readings; second-generation AID. FDA document (K253470): the 780G pump is for ages 7 and older and requires a prescription | The older 770G, 740G, 720G and 630G are also listed |
| MiniMed Flex | FDA document (K253743): an ACE pump that communicates with compatible iCGMs, Medtronic CGMs and automated dosing software. Cleared March 2026, U.S. launch in June. Launched with Simplera and with Instinct (Q1 results release) | A product that received Blackstone development funding |
| MiniMed Fit (patch pump) | Submitted to FDA in September 2026; launch expected summer 2027 (Q1 results release) | Not yet cleared; a company plan |
| MiniMed Go (smart MDI) | 10-K: a system for injection users that combines a smart insulin pen (InPen), a CGM sensor and an app, without a pump | For users who prefer injections |
| Simplera / Simplera Sync | FDA (PMA): the Simplera system was approved as a supplement on 24 July 2024; Simplera Sync received PMA approval on 6 August 2025 (P250012), intended to function as a component of an automated insulin dosing system | A single-use sensor of its own. The 10-K cites production challenges |
| Guardian 4 | FDA (PMA): added to the 780G system's scope on 21 April 2023 and also approved in P250012. A recall about enzyme-layer (GOX) thickness control in November 2023 | The previous-generation own sensor |
| Instinct (made by Abbott) | 10-K: a CGM sensor manufactured by Abbott Diabetes Care, launched in the U.S. in December 2025. FDA document (K253585) records integration testing with Instinct (made by Abbott) as an iCGM | FDA category and number were not confirmed here |
The Guardian 4 recall record shows that keeping the enzyme (GOX) layer's thickness within specification bears directly on a sensor's values and life; it was found by Filmetrics thin-film measurement Sourced. The May 2025 recall of Simplera Sensors concerned a packaging and sterile-barrier problem: the cap label might not adhere and compromise sterility (1,440 units). In terms of materials, then, separate controls, over the enzyme layer (thickness) and over sterile packaging (label and cap adhesion), support the quality of the same sensor Not yet confirmed.
Moreover, MiniMed uses its own sensors (Simplera, Guardian) and Abbott's (Instinct) on the same pump. Because each sensor differs in electrode, membrane, adhesive and sterilization design, the pump's algorithm has to be verified to treat the outputs of sensors with different materials and characteristics on a common basis. That is probably why the FDA summary records "integration with Instinct" separately (Inference). The 10-K says clinical studies show "clinically equivalent glycemic outcomes" across Simplera Sync, Instinct and Guardian, but that is a company statement that this article has not verified.
11. The risks this company carries
| Risk | Detail | Category |
|---|---|---|
| Uncertainty from the separation and listing | The exchange offer is due to expire on 9 October 2026 (unless extended or terminated). If conditions such as the exchange of at least 112,680,647 shares are not met, Medtronic says it will dispose of the rest another way. The 10-K lists, as risks, a short record as a listed company, substantial costs of the separation and rebranding, and the chance that the expected benefits of the separation are not realized | Sourced / outcome Not yet confirmed |
| Dependence on Abbott | Abbott is the exclusive third-party CGM supplier for certain AID and smart MDI systems. Abbott may terminate if MiniMed fails to purchase for a set period, among other reasons. MiniMed has also agreed not to buy, market or distribute CGMs from certain Abbott competitors | Sourced (10-K) |
| Supply and manufacturing of its own sensors | The 10-K says the company has experienced reductions or interruptions in supply and manufacturing difficulties, including for the Simplera CGM. It has two manufacturing sites and also lists reliance on sole suppliers as a risk | Sourced (company's own risk statement) |
| Recalls and correction notices | FDA's recall database lists, for sensors, Guardian 4 (started 15 November 2023, 114,758 units), Simplera Sensor (started 7 May 2025, 1,440 units) and the pump-with-Instinct pairing (started 27 May 2026, 778 units), among others. There are also many correction notices for pumps and apps. Responses for individual users are set out in each notice; this article gives no advice to users | Sourced (as recorded by FDA) |
| Losses | FY2026 operating loss of US$190 million and net loss of US$317 million. A one-time charge of US$157 million in the fourth quarter of FY2026 for minimum royalties under the Blackstone agreement. Operating income of US$5 million in the first quarter of FY2027 | Sourced |
| Competition and reimbursement | Dexcom's 10-K names MiniMed (Medtronic's diabetes business) as a competitor (another company's filing). MiniMed's 10-K cites coverage and reimbursement terms as a risk | Sourced |
| Comparing fiscal years | The first quarter of FY2027 includes about one extra week of sales because of the 53-week year. Read growth rates with care | Sourced (company statement) |
| Verifying the sensor business from outside | Sales, profit and R&D for sensors alone are not disclosed; only system-wide figures are | Not yet confirmed |
