COMPANY PROFILE / NANOTECHNOLOGY
Arbutus Biopharma
A drug developer that holds lipid nanoparticle (LNP) patents and earns from licenses and litigation
Arbutus Biopharma is a Nasdaq-listed biopharmaceutical company (its administrative address is Warminster, Pennsylvania). Its own development candidates are imdusiran, a GalNAc-conjugated RNAi therapeutic, and AB-101, an oral PD-L1 inhibitor, both for chronic hepatitis B; neither is a drug packaged in LNPs. It is covered here because the company owns patents on LNP delivery technology, has granted Genevant Sciences an exclusive license to those rights outside hepatitis B, receives royalties from Alnylam's ONPATTRO and others, and is a plaintiff in patent suits against Moderna and against Pfizer/BioNTech. In March 2026 it settled with Moderna ($950.0 million up front and up to $1.3 billion contingent, both shared with Genevant), and in July it received its own share of $178.4 million.
This article sorts out what could and could not be confirmed from the company's 10-K, 10-Q and 8-Ks, court documents and patent publications. Patent litigation is treated neutrally, as each party's position; this article does not judge whether any patent is valid or infringed. The materials-engineer section reads the court's claim construction to see what the LNP patents actually cover.

1. At a glance: Arbutus and its place in nanotechnology
CorporationIncorporated in October 2005 as Tekmira Pharmaceuticals (British Columbia law); renamed 31 July 2015
Pennsylvania, USA701 Veterans Circle. It stopped using the site in 2025 and all employees work remotely (lease runs to 30 April 2027)
(LNP patents and licensing)Its own candidates are GalNAc conjugates, not LNPs; LNP is a technology asset it licenses out
composition and manufactureParticles built from four types of lipid that enclose nucleic acids (company's description)
H1 2026: net income $164.6MThe first-half 2026 profit comes from booking its share of the patent settlement as revenue
Arbutus is not a company that makes LNP drugs; it is a company that owns LNP patents Sourced. According to its 10-K, imdusiran is a GalNAc-conjugated RNAi therapeutic (subcutaneous) and AB-101 is an oral drug. It licensed its LNP rights outside hepatitis B exclusively to Genevant in 2018, and its share is fixed by contract: 20% of Genevant's sublicensing income (14% for a bona fide collaboration), or 20% of infringement-suit or settlement proceeds after litigation costs (in each case "or, if less, tiered low single-digit royalties on net sales") Sourced. Nearly all of its first-half 2026 revenue was its share of that settlement.
By contrast, the case against Pfizer/BioNTech is still pending, and no ruling on validity or infringement has been made. What the court issued in September 2025 was a claim construction, which settles what the terms mean and nothing more Sourced.
2. Logo and naming

The logo is the corporate logo published in the header of the company's official website (arbutusbio.com), the word mark "Arbutus BIOPHARMA" with a branch mark, taken as it is. It has not been recreated with generated images.
Naming: the company is Arbutus Biopharma Corporation. Until 31 July 2015 it was Tekmira Pharmaceuticals Corporation, and on that date its subsidiary OnCore Biopharma was also renamed Arbutus Biopharma, Inc. Protiva Biotherapeutics, the origin of the LNP technology, was amalgamated into Arbutus Biopharma, Inc. on 1 January 2018 (10-K). Genevant Sciences is a separate company, a subsidiary of Roivant, in which Arbutus holds about 16%.
Official site: https://www.arbutusbio.com/3. Where the company sits in nanotechnology
Arbutus's main type is nanomedicine; it has no secondary type. Within nanomedicine, however, it is not a company selling LNP-based medicines; it is a company that holds LNP patents and lets others use them (or seeks compensation from those who used them without a license). The table sorts out which materials, processes and uses are central, as far as the company's own materials confirm.
| Material / use | Role at Arbutus | Primary sources found | Type |
|---|---|---|---|
| LNP delivery technology (patents on composition and manufacture) | Central. Particles of four lipid types enclosing nucleic acids (company's description). The basis of the ONPATTRO royalties, the Genevant license, the Moderna settlement and the Pfizer/BioNTech suit | 10-K, 10-Q, 8-Ks, court documents, patent publications | Sourced |
| GalNAc-conjugated RNAi therapeutic (imdusiran) | Main in-house candidate. Not an LNP: a nucleic acid conjugated to GalNAc, which targets liver cells, given subcutaneously. An investigational drug | 10-K, 10-Q, 8-K (FDA Fast Track designation, April 2026) | Sourced |
| Oral PD-L1 inhibitor (AB-101) | In-house candidate in a Phase 1a/1b trial (10-K) | 10-K | Sourced |
| LNP manufacturing plant and lipid raw materials | Not found. Manufacturing is largely outsourced and it has no plan for a large in-house plant; in-house scientific research ended in 2025 (10-K) | ― | Not yet confirmed |
4. Company scale
Arbutus is a listed company that files 10-Ks and 10-Qs with the US SEC. It has a single segment, and its revenue consists of technology licenses, royalties and its share of the settlement. Sourced The 2025 figures and the first-half 2026 figures are different in nature.

The first-half 2026 profit comes from booking a one-off settlement share as revenue Sourced. According to the 10-Q, operating cash flow was an outflow of $14.1 million, and the settlement was received on 8 July, after the quarter-end ($178.4 million, including reimbursement of its litigation costs). Revenue for the second quarter of 2026 alone was $1.0 million Sourced.
Also, 73% of 2025 revenue was an accounting recognition triggered by the end of the Qilu agreement, not new cash (10-K).
5. Resources committed to nanotechnology
In 2025 the company closed its laboratory and ended in-house scientific research. Its "resources" for nanotechnology (LNP) therefore go not to researchers or equipment but to maintaining patents, litigating and managing licenses. The table sorts out, for people, money, outside ties and universities, what was and was not confirmed.
| Item | What was confirmed | Type |
|---|---|---|
| People (R&D sites and headcount) | 19 full-time employees (31 December 2025). Cut by 40% in 2024 and a further 57% in Q1 2025. In 2025 it stopped using its headquarters (about 35,000 sq ft of lab and office) and ended scientific research; everyone works remotely. Headcount for LNP alone is not disclosed | Sourced / not disclosed |
| Money (R&D spending and capex) | R&D was $25.2 million (2025) and $7.0 million (H1 2026), mostly for the hepatitis B candidates; the amount for LNP alone is not disclosed. No capital expenditure figure was found (in 2025 there was a $0.67 million gain on the sale of lab equipment and a $2.81 million impairment). Litigation costs sit in G&A, which was $9.76 million in H1 2026 | Sourced / not found (capex) |
| Equity, acquisitions, JVs and divestments | About 16% of Genevant (carrying value zero; $2.5 million invested in the 2020 recapitalization) / acquired Enantigen Therapeutics in 2014 (up to $102.5 million contingent on the first commercial hepatitis B product; fair value $8.4 million at end-2025) / sold part of its ONPATTRO royalty rights to OMERS for $20 million in 2019 (they revert once OMERS has received $30 million; $26.9 million had been recorded by 30 June 2026) / the 2021 Qilu agreement ($40 million up front plus $15 million equity) ended in June 2025 | Sourced |
| Universities, institutes and public funds | The 10-K shows no university collaboration or public funding for LNP. Government contracts, grants and tax credits appear only as a general item in the history of its financing | Not found |
Status of main products and facilities
| Product / facility | Stage | Date | What the source says |
|---|---|---|---|
| ONPATTRO (Alnylam's product; uses Arbutus LNP technology) | Approved and marketed | Approved by the FDA and EMA in Q3 2018 | The first approved product of its LNP technology (10-K); royalties 1.00-2.33% after offsets, the top rate applying above $500 million of annual sales |
| imdusiran (AB-729) | Clinical trials (Phase 2a done) | April and May 2026 | The FDA granted Fast Track (April 2026); alignment with the FDA on Phase 2b design and safety parameters (May 2026). Not approved |

This article does not assess the efficacy or safety of any medicine and is not individual medical advice. Fast Track is a designation that facilitates development and review; it does not indicate efficacy or approval.
6. Track record
| When | Event | Meaning |
|---|---|---|
| 2007 | Tekmira, the later Arbutus, began active business on 30 April 2007 after taking over the business of Inex Pharmaceuticals | Inherits the LNP lineage (Inex, Protiva) |
| 2012 | Licensed LNP technology to Alnylam (2012). A settlement agreement with Alnylam and Acuitas dated 12 November 2012 (exhibit index of Alnylam's 10-K) | Origin of the ONPATTRO royalties; the second royalty from Acuitas also comes from a settlement and later license |
| 2014-2015 | Acquired Enantigen in 2014; combined with OnCore Biopharma in March 2015 and renamed Arbutus Biopharma on 31 July 2015 | Shifts its focus to hepatitis B development |
| 2018 | In April, launched Genevant Sciences with Roivant and exclusively licensed LNP and ligand conjugate technology to it outside hepatitis B. ONPATTRO was approved in the US and EU in Q3 | LNP commercialization is handed to Genevant |
| 2019-2021 | Sold part of the ONPATTRO royalty to OMERS in January 2019. In July 2020 Roivant recapitalized Genevant under a shareholders agreement giving Roivant substantial control (Arbutus has a non-voting observer). Qilu agreement in December 2021 | Funding, and the control structure |
| 2022-2023 | Sued Moderna on 28 February 2022 (D. Del.). In April 2023 a patent in its LNP portfolio was found invalid after inter partes review (10-K). Sued Pfizer/BioNTech on 4 April 2023 (D.N.J.) | Patents are enforced in court; the validity of patents was also challenged |
| 2024-2025 | Stopped discovery and cut 40% in 2024. In Q1 2025 replaced the whole board and the CEO and CFO, cut a further 57%, and ended the headquarters and scientific research. Five international suits against Moderna on 3 March. Qilu agreement ended in June. Claim construction in the Pfizer case on 9 September | From a research organization to one that manages rights and litigates |
| 2026 | On 15 January the Board of Appeal of the European Patent Office revoked European patent EP 2279254 (oral decision). 3 March: settlement with Moderna ($950.0 million up front, $1.3 billion contingent). 19 March: sued the United States in the Court of Federal Claims. April: FDA Fast Track for imdusiran. 30 June: the Pfizer case was administratively terminated (plaintiffs' letter). 8 July: received its $178.4 million share; July: three international suits against Pfizer/BioNTech. 24 August-29 September: issuer tender offer | Its 2026 results depend heavily on the patent settlement |
7. Plans
Oral argument expected 2027Per Roivant's 10-K (May 2026). The $1.3 billion payment depends on it
Canada and UPC: filed July 2026Plaintiffs' letter of 11 August 2026; the court's response was not found
expected in Q3 2026Amount to Arbutus not disclosed; Roivant says up to $188 million to non-Roivant holders
protocol in preparationIt intends to incorporate FDA feedback (10-Q); no start date or cost was found
In its 10-K the company states its strategy as maximizing the opportunities in its hepatitis B programs and, through its exclusive license to Genevant, in LNP technology. In 2026 it said it would return capital from its settlement share: on 24 August it launched a tender offer for up to $230 million, and its 1 October announcement says it accepted 46,000,000 shares at $5.00 per share (about 23% of shares outstanding; Roivant tendered proportionately and keeps about 19.5%). Sourced
None of the following appears in the primary sources Not yet confirmed.
The amount and date of the dividend from Genevant to Arbutus / the trial date in the Pfizer/BioNTech case / the start date and cost of the imdusiran Phase 2b trial / cash after the tender offer (figures after the 10-Q) / any new research or manufacturing plan for LNP (research ended in 2025) / when the Federal Circuit will decide Moderna's §1498 appeal (the companies expect oral argument in 2027, which is an outlook).
8. What the company is aiming for in nanotechnology
This section includes points the company does not state directly. They are written as inferences within what the primary sources allow, with their basis.
| What can be read | Primary-source basis | Type |
|---|---|---|
| It intends to turn LNP technology into income through the Genevant license and litigation, not through products of its own | 10-K: strategy is hepatitis B development and "LNP technology through our exclusive license with Genevant"; discovery and in-house science ended in 2025 | Sourced (company policy) |
| It is widening its enforcement step by step (Moderna, then international suits, then the US government; Pfizer/BioNTech, then international suits) | 10-K, 10-Q and 8-K (July 2026): US suits in 2022 and 2023, international suits against Moderna in 2025, the suit against the US government in March 2026, international suits against Pfizer/BioNTech in July 2026 | Sourced |
| The company's value in LNP lies in compensation for past use and licensing during the remaining patent term, not in new development | 10-K: estimated LNP patent expiry 2029 (table); research ended in 2025. But Roivant's 10-K gives the expiry of the patents Genevant licenses from Arbutus (28 families) as June 2025 to 2041, and of Genevant's own patents as 2029 to 2045 | Inference |
| It is putting part of the settlement share toward shareholders before hepatitis B development | 8-K (July 2026) and Schedule TO: intent to return capital and a tender of up to $230 million, which exceeds the $178.4 million received, so cash on hand is also used | Inference |
The basis for reading "LNP value lies in past compensation and licensing during the remaining term" is the patent-expiry table in the 10-K. It gives estimated expiry (based on filing dates) of imdusiran 2038, AB-101 2042 and LNP 2029 (US and Europe). In addition, the company ended its in-house scientific research in 2025, so it is not set up to keep improving LNP itself.
But this cannot be stated firmly. According to Roivant's 10-K, the patents Genevant licenses from Arbutus include some expiring as late as 2041, and Genevant's own patents run to 2045. Expiry by individual patent, and which patents correspond to which current products, cannot be traced in public materials. The company itself writes in its 10-K that whether its patents are valid, and how courts will rule, is uncertain Not yet confirmed.
9. Partnership map for nanotechnology
The pattern is that most of its counterparties are on the "LNP user" side, and the relationship is either a license (Alnylam, Genevant) or a dispute or settlement (Moderna, Pfizer/BioNTech). Acuitas spans both: under the 2012 settlement and later license, Acuitas pays Arbutus a royalty based on ONPATTRO sales. In 2022-2024, however, Acuitas sued Arbutus and Genevant seeking declaratory judgments, and on 20 May 2024 the District of New Jersey dismissed that suit without prejudice for lack of jurisdiction; the ruling did not reach the validity or infringement of any patent. |---|---|
| LNP technology (company's description) | "Microscopic particles built from four carefully selected types of fat-like molecules that shelter and protect nucleic acids, carry them to a target cell and release them through the cell membrane." The company asserts that without this technology mRNA would quickly degrade (10-K) |
| US patents in the Moderna suit | US 8,058,069 / 8,492,359 / 8,822,668 / 9,364,435 / 9,504,651 / 11,141,378 (mostly titled "Lipid formulations for nucleic acid delivery"; 9,504,651 is "Lipid compositions for nucleic acid delivery"). In the settlement Moderna consented to a judgment of infringement and of no invalidity of four patents (Roivant's 10-K) |
| US patents in the Pfizer/BioNTech suit | US 9,504,651 / 8,492,359 / 11,141,378 / 11,298,320 / 11,318,098. The last two are titled "Liposomal apparatus and manufacturing methods". Assignee Protiva or Arbutus |
| ONPATTRO royalties | Right from Alnylam: 1.00-2.33% of global net sales after offsets, top rate above $500 million a year. Right via Acuitas: 0.75-1.125% (0.75% above $500 million). 2025 revenue was $1.67 million (cash) and $1.48 million (non-cash); it expects a decline as Alnylam's next-generation AMVUTTRA replaces it |
| Rights granted in the Moderna settlement | A fully paid-up, irrevocable, non-exclusive, worldwide license and covenant not to sue for Spikevax, mNEXSPIKE, mRESVIA and other mRNA vaccines for infectious disease using an SM-102 lipid formulation (with conditions), plus a covenant not to sue on certain other patents and products (8-K) |
The claim construction the court issued in September 2025 (Pfizer/BioNTech case)
The District of New Jersey fixed the meaning of four terms the parties disputed in five patents (described as directed to compositions and methods for preparing lipid nanoparticles containing therapeutic agents). This is not a ruling on infringement. The company says the terms were construed in a manner it generally considers favorable; BioNTech says in its Form 20-F that it has strong defenses and that the outcome remains substantially uncertain (BioNTech's view is from a March 2026 filing). Sourced
| Term | The court's construction (summary) |
|---|---|
| "lipid vesicle" | "Any lipid composition that can be used to deliver a compound," including liposomes with an aqueous volume enclosed by an amphipathic lipid bilayer, lipids coating a large molecular component, and lipid aggregates or micelles |
| "fully encapsulated" | "Contained inside" |
| "mol %" | The recited mol % ranges are understood to encompass their standard variation based on the significant figures |
| "consisting essentially of" | "Consisting of only the listed ingredients and those that do not materially affect the increased activity of the encapsulated nucleic acid and the improved tolerability in vivo, or the stability in circulation" |
Source: D.N.J. ECF 246 (9 September 2025). The wording is summarized; see the court document for the exact text.
(1) The patents cover "which lipids, in what ratios" and "how it is made." The court describes the five patents as directed to compositions and methods for preparing lipid nanoparticles containing therapeutic agents. The titles likewise split into composition (Lipid formulations / Lipid compositions) and manufacturing apparatus and methods (Liposomal apparatus and manufacturing methods). For the general makeup of LNPs and their performance, such as the pKa of ionizable lipids, see our explainer on lipid nanoparticles.
(2) "Mol %" is a promise that includes how it is measured. When a ratio is claimed, how many mol % it is depends on significant figures. The court construed the recited ranges to include standard variation based on significant figures. A claim saying "50%", for instance, takes in different amounts of rounding depending on the number of significant digits. This shows that assay error in a formulation (the error in quantifying lipids) can sit at the edge of a patent's scope (this is our commentary, not a court ruling on infringement).
(3) "Consisting essentially of" ends up defining the material's properties. It means not only "the listed components" but "components that do not change the properties may also be added." The court identified those properties as increased activity of the encapsulated nucleic acid, improved tolerability in vivo, and stability in circulation, and held that an "increased therapeutic index" is a consequence of the first two rather than a property of its own. So whether adding one more lipid takes a product outside the claim turns on its effect on activity, tolerability and stability.
(4) Within the same patent family, some claims state a numerical range and others do not. Where the specification of US 11,141,378 says "about 50 to 85 mol % of a cationic lipid," the court noted that claim 1 recites only "a cationic lipid having a protonatable tertiary amine," with no numerical range, and rejected the defendants' proposal to import that sentence into the construction. In materials terms, the formulation in an example is not the same as the scope of the claim.
None of this judges whether the patents are valid or whether any actual product falls within their scope.
11. Risks
| Risk | Content | Type |
|---|---|---|
| Uncertainty of patent litigation | The 10-K says the outcome of each proceeding is subject to substantial uncertainty, and that rulings on claim construction, validity, infringement, the §1498 defense and more are mostly appealable. Roivant also writes that the Moderna resolution need not predict the Pfizer case. BioNTech says it has strong defenses and that the outcome is substantially uncertain | Sourced |
| Challenges to patent validity | In April 2023 one LNP patent was found invalid after inter partes review (10-K). The Board of Appeal of the EPO revoked EP 2279254 in an oral decision on 15 January 2026 (written decision awaited; the company plans to petition the Enlarged Board of Appeal). Revocation actions against EP 4241767 by Arrowhouse GmbH and Keltie LLP may remain (withdrawals are recorded only for Moderna and Merck) | Sourced |
| The contingent $1.3 billion | Payment depends on a favorable ruling in Moderna's §1498 appeal. If §1498 covers only some doses it is prorated, and if all, nothing is paid. If a favorable result is later overturned, it must be returned with interest. The 10-K also notes it may be restricted from freely using the contingent payment | Sourced |
| Remaining patent term | The 10-K table gives LNP patent expiry as 2029. Genevant's side includes patents to 2041-2045. Which patent maps to which product cannot be traced | Sourced |
| Concentration and one-off nature of revenue | In 2025 Qilu accounted for 73%; in H1 2026 one item from Genevant was 99.6% of revenue. ONPATTRO royalties are expected to fall as AMVUTTRA replaces it (10-K) | Our calculation |
| Reliance on Genevant and Roivant | Genevant leads licensing and litigation of the LNP rights, and Roivant has substantial control of Genevant; Arbutus has only a non-voting observer. Roivant is also Arbutus's largest shareholder (about 19.5%) | Sourced |
| A very small organization | 19 employees; manufacturing and trials are outsourced. The 10-K says the lawsuits will consume resources over an extended period and an adverse result could materially harm the business | Sourced |
| Uncertainty of its own candidates | imdusiran and AB-101 are investigational and not approved. Funding and timing of Phase 2b were not found. This article does not assess efficacy or safety | Not yet confirmed |
| Cash after the tender offer | It committed $230 million to buying back shares in the tender offer (Schedule TO Amendment No. 2). Cash and investments were $92.6 million at end-June 2026, but the balance after the tender offer, a post-10-Q figure, was not found | Not yet confirmed |
