COMPANY PROFILE / NANOTECHNOLOGY

Acuitas Therapeutics
A privately held company with no drugs of its own that supplies LNP lipids and formulations to partners

Acuitas Therapeutics is a privately held biotechnology company based in Vancouver, Canada. Its website describes it as a technology-platform company that develops no drugs of its own and instead provides lipid nanoparticle (LNP) technology for delivering nucleic acid medicines to partners such as pharmaceutical and biotech companies, universities, foundations and NGOs. It says its LNP technology is used in two approved products, ONPATTRO and COMIRNATY, and BioNTech's Form 20-F says it took a non-exclusive license from Acuitas in April 2020.

Because Acuitas is not listed, its financials and headcount are not published. Beyond the company's own website, press releases and corporate presentation, this article draws on disclosures by BioNTech, Alnylam and Arbutus, court documents and regulators' documents to sort out what could and could not be confirmed. The patent disputes with Arbutus and Genevant are treated neutrally, as each party's position, and this article does not judge whether any patent is valid or infringed.

Basis: the company's website, press releases and corporate presentation (June 2026), BioNTech's Form 20-F, the 10-Ks and 10-Q of Alnylam and Arbutus, District of New Jersey documents, a US prescribing information (DailyMed), an EMA assessment report and patent publications as primary sources / last updated October 2026

The one point to grasp first

Acuitas is not a drug maker but a company that provides LNP components (lipids) and recipes Sourced. Its website and corporate presentation state that it has no drug development programs of its own and works in collaboration with partners. Designing and supplying the particle that wraps an mRNA vaccine or siRNA drug is what it does.

Its involvement in approved products rests mostly on company claims, and the primary sources that confirm it are partial. BioNTech's Form 20-F says it took a non-exclusive license from Acuitas, but who manufactures the lipids in the Pfizer/BioNTech vaccine is not stated in the materials read for this article Not yet confirmed. Arbutus and Genevant, meanwhile, have sued Pfizer/BioNTech claiming that the same COMIRNATY LNP infringes their patents, and Acuitas sits at the edge of that dispute (no ruling has been made).

2. Logo and naming

The logo is the logo image published on the company's official website (acuitastx.com), the words ACUITAS THERAPEUTICS with a round mark, with only the surrounding margin trimmed. It has not been recreated with generated images.

Naming: the company is Acuitas Therapeutics Inc. Alnylam's 10-K exhibit index records it as "Acuitas Therapeutics Inc. (formerly AlCana Technologies, Inc.)." The website explains that "Acuitas" means "insight, perception and sharpness." ALC-315 is a name the corporate presentation says is a registered trademark at the US Patent and Trademark Office, not a company name.

Fig. 1 The four types of company in nanotechnology, and where Acuitas sits. The classification is ours, and the companies shown are examples from those covered in this series Our calculation. That Acuitas is a provider with no drugs of its own comes from its website and corporate presentation.

Acuitas's main type is nanomedicine, with no secondary type. It holds LNP patents and offers everything from designing new lipids to formulation, analytics, preclinical work and manufacturing technology transfer. The table sorts out which materials, processes and uses are central, as far as the company's own materials confirm.

4. Company scale

Acuitas is not listed and does not publish revenue, profit, headcount or financing amounts (the corporate presentation does not either). What can be confirmed from outside is the numbers the company gives about itself and fragments in counterparties' disclosures.

ItemContentType
Numbers the company givesTechnology in approved products: 2 / clinical trials started by partners in the last three years: 33 / contributions to more than 40 peer-reviewed publications in the last two years (website). An older passage gives 26 trials for 2023-2024 (Advantage page); the counting periods are not the sameSourced (company's claim)
Amounts in counterparties' disclosuresBioNTech pays up to about $1.6-2.45 million in development milestones, $2.5-3.75 million in regulatory milestones and $2.5-3.75 million in commercial milestones, plus tiered low single-digit royalties on net sales (April 2020 agreement, Form 20-F). Arbutus booked $406 thousand of revenue attributed to Acuitas in H1 2026 ($1,095 thousand a year earlier)Sourced
OwnershipNot disclosed. Thomas Madden, a founder, is CEO. No holding company or investor was foundNot yet confirmed
HeadcountNot disclosed. The website announces it was named one of Canada's Top Small and Medium Employers for the third year running (April 2026) but gives no headcountNot disclosed
A note of caution

"Used in two approved products" and "33 partner clinical trials" are both the company's own numbers, with no third-party confirmation. And the Acuitas-attributed amount in Arbutus's revenue is part of a royalty tied to ONPATTRO sales and does not show Acuitas's revenue or earning power. This article does not estimate Acuitas's size from public materials Not yet confirmed.

5. Resources committed to nanotechnology

The table sorts out, for people, money, outside ties and universities, what was and was not confirmed.

ItemWhat was confirmedType
People (R&D sites and headcount)Based in Vancouver (6190 Agronomy Road). Headcount is not disclosed. The website lists chemistry, formulation, analytical, preclinical, process development and technology transfer, business development and alliance management teams, saying chemistry has designed over 1,000 lipids and formulation makes thousands of formulations a yearSourced (company's description) / not disclosed
Money (R&D spending and capex)Not disclosed. Manufacturing is outsourced; the company says it uses a "global network of contract manufacturing organizations." No investment in plants was foundNot disclosed / not found (capex)
Equity, acquisitions, JVs and divestmentsOn 8 January 2026 it acquired a majority stake in RNA Technologies & Therapeutics (founded in Montreal in 2022). Individual partners' development plans and the company's own revenue or funding targets are not in public materials.

What could not be confirmed

None of the following appears in the primary sources Not yet confirmed.

Revenue, profit and headcount / financing or listing plans / expansion of manufacturing / the terms of contracts with individual partners (other than BioNTech) / the terms of any supply agreement for the ONPATTRO or COMIRNATY lipids / whether the co-inventorship action against Alnylam will be refiled / prospects for new approved products.

8. What the company is aiming for in nanotechnology

This section includes points the company does not state directly. They are written as inferences within what the primary sources allow, with their basis.

What can be readPrimary-source basisType
It intends to stay a provider of LNP "parts and recipes" with no drugs of its ownCorporate presentation: "We do not have our own drug development programs." Website: works in collaboration with partnersSourced (company policy)
It is widening what it offers from lipids to RNA design and manufactureJanuary 2026 press release: majority stake in RNA T&T; "an integrated approach to these two key components derisks clinical programs" (company's description)Sourced (company policy)
It seeks to differentiate on quality through control of lipid raw-material purityMay 2026 press release: study of aldehyde impurities and RNA-lipid adducts, saying it can "set targets for our approved lipid manufacturers." The EMA assessment report also refers to lipid-related impuritiesInference
It treats customers being able to use the technology free of third-party patent threats as a premise of its businessAcuitas's complaint (August 2023): it is "vital to Acuitas's business that its partners ... can use the licensed Acuitas LNP technology free and clear of interference by threats of suit arising from third party patents" (Acuitas's allegation)Sourced (Acuitas's allegation)
One inference, explained in more detail

The basis for "it differentiates on lipid raw-material purity" is the content of the May 2026 press release. The research presented at ASGCT says that impurities such as aldehydes in ionizable lipids bind mRNA to form "adducts" that inhibit translation, and in mice higher adduct levels corresponded to lower IgG expression. The company recommends screening incoming raw materials for aldehyde content and says it has put in place analytical methods (ion-pairing reversed-phase chromatography and LC-MS).

However, this is the company's announcement; the detailed data (dose, numbers, lipid types) and whether it was peer-reviewed cannot be confirmed. This article does not say that Acuitas is better than others or that others' lipids have the same problem Not yet confirmed.

9. Partnership map for nanotechnology

Licenses, partners, equity and disputes around Acuitas Only ties in official materials of the company and counterparties; disputes do not show any party's position License / partner Payments Equity Dispute Acuitas LNP provider BioNTech / Pfizer Non-exclusive license, Apr 2020 Alnylam ONPATTRO; co-inventor suit dismissed Arbutus Biopharma 2012 settlement and license; royalty Genevant Sciences Declaratory suits dismissed AstraZeneca LNP for an mRNA-VLP vaccine RNA Technologies & Therapeutics Majority stake, Jan 2026 Athebio DARPin-targeted LNP collaboration 11 named partners Beam, CureVac, CREATE and more
Fig. 2 Sources: the company's website, press releases and corporate presentation (June 2026), BioNTech's Form 20-F, the 10-Ks and 10-Q of Alnylam and Arbutus, and District of New Jersey documents. Navy is license or partnership; orange is the royalty tied to Acuitas that Arbutus receives (0.75-1.125% of ONPATTRO net sales). Red dashed lines are the declaratory judgment suits against Arbutus and Genevant (dismissed in May 2024 for lack of jurisdiction) and the co-inventorship action against Alnylam (dismissed in July 2025 for failure to plead standing). The "11 named partners" are the companies listed under "Our Partners' Success" in the corporate presentation: Beam Therapeutics, Precision BioSciences, CureVac, Tune Therapeutics, Arbor Biotechnologies, CREATE Medicines, Metagenomi, Centivax, nChroma Bio, Ukko and Scribe Therapeutics (contract terms not confirmed). Pfizer/BioNTech are defendants of Arbutus and Genevant, not of Acuitas.

The pattern is that many customers are payload holders, and there are many patent disputes at the edges. Acuitas and Arbutus each describe ONPATTRO's LNP as an application of their own technology, and Arbutus receives a royalty tied to Acuitas. None of the disputes has reached the merits (the one against Arbutus and Genevant was dismissed for lack of jurisdiction and the one against Alnylam for failure to plead standing, both without prejudice). What Acuitas argued is recorded in the court documents and the 10-Ks, but Acuitas's own latest view could not be confirmed for this article. Sourced

10. Technologies, products and services

The following draws on the company's website, corporate presentation and press releases. Research figures are the company's announcements, and animal results cannot be applied directly to humans. This article does not assess the efficacy or safety of any medicine or vaccine. Sourced

ItemContent (company's description)
LNP technologyNucleic acids are enclosed by ionizable lipids and PEG-lipids (which stabilize the particle). After administration the PEG-lipid is shed, apolipoprotein E (ApoE) binds, cellular receptors recognize the particle and take it up, and the nucleic acid is released from the endosome into the cytoplasm. Payloads include mRNA, siRNA, DNA and guide RNA
Lipid designAn iterative loop of design, synthesis, formulation and preclinical characterization using a structure-activity relationship (SAR) model. The company says "ALC-315" is a US registered trademark
Services offeredChemistry, formulation development, analytics, preclinical (with an emphasis on non-human primates), process development and technology transfer, business development and alliance management. The sequence is optional technology evaluation agreement, term sheet, development and option agreement, then license
Targeted LNP (ASGCT 2026)Extended-circulation LNP carrying DARPins (with Athebio) delivering CD20 CAR mRNA to CD8-positive T cells. In mice, plasma half-life rose from 15 minutes to 2 hours and liver expression fell about 10-fold; in non-human primates, over 60% of circulating CD8 T cells expressed the CAR and B cells were depleted at doses as low as 0.25 mg/kg (company's conference presentation)
ApplicationsInfectious disease vaccines (influenza, RSV, shingles, malaria, HIV and others), cancer vaccines, gene editing and modulation, and therapeutic proteins such as mRNA-encoded antibodies (website)
Patents in its name (examples)US 10,166,298 B2 (priority 28 October 2015) and US 10,221,127 B2 (priority 29 June 2015), both titled "Lipids and lipid nanoparticle formulations for delivery of nucleic acids." The claims were not reviewed for this article
A materials engineer's view: part of LNP quality is set by lipid purity

(1) A concrete route by which impurities reduce performance is shown. In the company's announcement, aldehydes, which are process impurities or degradation products of ionizable lipids, bind mRNA chemically to form "RNA-lipid adducts" that inhibit translation. They are often missed by ordinary mRNA purity assays, and the amount depends strongly on time, temperature and the impurity profile of the lipid lot. It is a materials question of what to put in a lipid specification (company announcement; mouse results, which may not apply to other lipids).

(2) Regulators have also referred to lipid impurities. The EMA assessment report adopted for Comirnaty in February 2021 lists two novel lipid excipients (ALC-0315 and ALC-0159) and says that "lipid related impurities have been observed in some recently manufactured finished product batches, correlated with ALC-0315 lipid batches," asking for more information on the synthetic process and control strategy. It does not name any supplier and does not say the lipid is Acuitas's. It also reflects the assessment of that time and does not indicate the quality of the current product.

(3) By mass, the ionizable lipid is more than half of the four lipids. The US prescribing information (DailyMed, 2026-2027 Formula) lists the lipids in one 0.3 mL dose of COMIRNATY as 0.43 mg ionizable lipid, 0.05 mg PEG-lipid, 0.09 mg DSPC and 0.19 mg cholesterol. As shares of the 0.76 mg total by mass: ionizable lipid about 56.6%, PEG-lipid about 6.6%, DSPC about 11.8% and cholesterol about 25.0% Our calculation. This is background for reading that the purity of the most abundant lipid is likely to matter most to product quality (mass, not molar, ratios; our commentary). For the general makeup of LNPs, see our explainer on lipid nanoparticles.

(4) PFV moves where the mixing step happens. Usually mRNA and LNP are combined into particles at the factory. The company's PFV delivers empty LNP and mRNA in separate vials to be mixed where used. That simplifies manufacturing but shifts control of particle size, encapsulation and stability after mixing to the point of use. The company says potency equals the conventional method, but the test conditions are not public.

None of this judges whether any patent is valid or whether any product falls within a patent's scope.

11. Risks

RiskContentType
No visibility into financesNot listed; revenue, profit, funding and headcount are undisclosed. The company's numbers (2 products, 33 trials) are its own claims, with no third-party confirmationNot yet confirmed
Customers' patent risk reaches the businessArbutus and Genevant sued Pfizer/BioNTech, and Acuitas alleged in its complaint that the suit identifies Acuitas's lipids and LNP. The case is pending and no ruling has been made. BioNTech says it has strong defenses and the outcome is substantially uncertainSourced
Its own positions have not been ruled on by a courtThe declaratory judgment suit against Arbutus and Genevant was dismissed for lack of jurisdiction and the co-inventorship action against Alnylam for failure to plead standing, both without prejudice. The merits are undecided and refiling is not excludedSourced
Change in demand for ONPATTROArbutus's 10-K expects ONPATTRO sales, and the royalties via Alnylam and Acuitas, to fall as Alnylam's next-generation AMVUTTRA replaces it (a statement about Arbutus's revenue; it does not address Acuitas's revenue directly)Sourced
Reliance on lipid raw-material quality and external manufacturingcGMP lipids are produced externally, and the company itself shows that impurities such as aldehydes can affect product performance. The EMA report also refers to lipid-related impurities (supplier not identified)Sourced
Competing delivery technologiesOthers, such as Genevant, provide different LNP technology (BioNTech licenses from both Acuitas and Genevant). Customers can use more than one technologyInference
Partners' development outcomesIncome depends on partners' development, approval and sales (milestones and royalties are confirmable only to the extent of BioNTech's Form 20-F). This article does not assess partners' trial progress or resultsNot yet confirmed

This article is based on Acuitas's website, press releases and corporate presentation, BioNTech's Form 20-F, the 10-Ks and 10-Q of Alnylam and Arbutus, District of New Jersey documents, a US prescribing information, an EMA assessment report and patent publications. It uses no market-research estimates or press-based figures. Because Acuitas is not listed, its financials are not published, and this article does not estimate them. Figures the company gives (involvement in approved products, partners' trial counts, conference results) are treated as the company's claims or announcements and have not been verified by third parties. Patent disputes are treated as each party's position, and this article does not judge whether any patent is valid or infringed. Items marked "Inference" are our reading of the primary sources and are not company disclosures. This article does not advise individual readers on the efficacy or safety of any medicine or vaccine, or on investment.
